The Client agrees to pay Visionary Studios the fees as outlined in the agreed-upon project proposal or contract. Payment schedules, methods, and any applicable late payment fees will be clearly stated in the proposal. Typically, a deposit is required before the commencement of the project, with subsequent payments due upon completion of specific milestones or project phases. Failure to make timely payments may result in project delays or termination of Services. All payments are to be made in US Dollars unless otherwise specified in the project agreement. The Client is responsible for providing Visionary Studios with all necessary information, materials, and approvals required to perform the Services. This may include, but is not limited to, providing accurate branding guidelines, script approvals, access to locations, and timely feedback on project drafts. The Client is also responsible for obtaining any necessary permits, licenses, or releases required for filming in specific locations or using copyrighted materials. Visionary Studios is not liable for any delays or additional costs incurred as a result of the Client's failure to fulfill these responsibilities. Open communication and collaboration are key to a successful project. We encourage our clients to be actively involved in the creative process and provide prompt feedback to ensure that the final product meets their expectations.
Visionary Studios retains all rights, title, and interest in and to the raw footage, video content, and other materials created by Visionary Studios in connection with the Services, unless otherwise agreed upon in writing. Upon full payment of all fees, the Client will typically be granted a license to use the final video product for the purposes outlined in the project agreement. Any use of the video product outside of the agreed-upon scope may require additional licensing fees. Visionary Studios reserves the right to use the final video product for promotional purposes, including showcasing it on our website and social media channels, unless the Client specifically requests otherwise in writing. We respect the intellectual property rights of others and expect our clients to do the same. Clients are responsible for ensuring that they have the necessary rights and permissions to use any copyrighted materials provided to Visionary Studios for inclusion in the video product.
Visionary Studios agrees to maintain the confidentiality of any confidential information provided by the Client in connection with the Services. Confidential information includes, but is not limited to, trade secrets, proprietary information, customer lists, and financial data. This obligation of confidentiality shall survive the termination of these Terms. The Client agrees to maintain the confidentiality of any proprietary information disclosed by Visionary Studios, including but not limited to pricing information and creative processes. We understand the importance of protecting our clients' sensitive information and take all necessary precautions to ensure its security.
To the fullest extent permitted by applicable law, Visionary Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Site or Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our Site; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Site by any third party; (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Site or Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Visionary Studios has been informed of the possibility of such damage. Either party may terminate the project agreement upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice of the breach. Visionary Studios may also terminate the agreement immediately if the Client engages in conduct that is illegal, unethical, or harmful to Visionary Studios' reputation. Upon termination, the Client shall pay Visionary Studios for all Services rendered up to the date of termination, as well as any reasonable expenses incurred by Visionary Studios in connection with the Services. Visionary Studios shall deliver to the Client any work in progress upon receipt of full payment for services rendered. We strive to maintain positive working relationships with our clients, but we reserve the right to terminate an agreement if necessary to protect our interests.
